By using this site electronically or any of our services, the User acknowledges that he/she has read, accepted, and agrees to be bound by these terms and conditions to the fullest extent permitted by law.

The following Terms and Conditions for Use of the Portal (the "Rules of Use") are applicable to all websites of https://www.bje.mx, hereinafter referred to as the "Portal", owned by BJE Asesores, S.C., hereinafter referred to as "BJE".

For purposes of these Rules of Use of the Portal, the following shall be considered users: (i) the general public and/or (ii) a BJE client who has scheduled an appointment through our Portal and/or before contracting any service directly at our branches and making use of our services on the Portal or Branches, (the "User"). The User fully and unconditionally accepts both the Rules of Use of the Portal and the Privacy Notice, which together make up the "Legal Notice", published permanently on the Portal. BJE reserves the right to update or revise these terms and conditions without prior notice; check these terms and conditions periodically for changes. Continued use of this site after the publication of any changes to these terms and conditions indicates that the User accepts such changes.

BJE is a Mexican company focused on offering legal, accounting, administrative and marketing services to startups, small, medium and large companies and entrepreneurs through the use of technology and hyper productivity techniques. These services do not include litigation or outlaw legal services, no tax avoidance services or aggressive tax avoidance or tax evasion strategies. Marketing services will not be offensive and will be within the legal framework (the "Services"). BJE is not committed to any political organization.

The material on this website is for informational purposes of the services offered.

These Rules of Use govern the use of the BJE site and your access to it constitutes a binding contract or "Agreement" by and between BJE, a Mexican company with its principal place of business in Mexico City, and the User. Please read this Legal Notice carefully. The Legal Notice is mandatory and binding on all Users. If the User does not agree with the Legal Notice in its entirety, he/she must refrain from using, operating, visiting the Portal and/or contracting the services provided by BJE.

By using this Site and/or inducing the use of this Site electronically or through other means, the User indicates that he/she accepts the Agreement and that:

1. Acknowledges and agrees that BJE specifically disclaims any liability, loss, damage or risk resulting directly or indirectly from the Portal or the Services.
2. Acknowledges and accepts that use of the Portal is subject to the terms of the Legal Notice, as amended from time to time.
3. That you will only use the materials contained in the Portal for personal, non-commercial and informational purposes, and that you will not modify any of the materials contained in the Portal.

USER BEHAVIOR

The User agrees to comply with all applicable local, state, national and international laws, regulations, ordinances, standards and rules and is solely responsible for all actions or omissions that occur as a result of the use of or access to the Portal including, without limitation, the content of its transmissions through or to BJE's websites. By way of example and not as a limitation, the User agrees NOT TO DO the following:

1. Use the Portal in connection with chain letters, advertising e-mail, junk e-mail, or any duplicative or unsolicited commercial or other unsolicited messages.
2. Collect, compile or disseminate information about third parties, including e-mail addresses, without the consent of the owner of the information.
3. Create a false identity or forged e-mail address or header, or otherwise attempt to mislead others as to the identity of the sender or the origin of a message.
4. Transmit through or to the Portal unlawful, harassing, defamatory, abusive, threatening, harmful, vulgar, obscene, offensive or objectionable materials.
5. Transmit any material that may infringe the intellectual property rights or other rights of third parties, including, without limitation, trademarks, trade secrets or copyrights.
6. Transmit any material that contains viruses, Trojan horses, worms, time bombs, canceling programs, or any other harmful or deleterious programs.
7. Use the Portal to violate any applicable law restricting the export or import of data, software or other content.
8. Interfering with or disrupting the operation of networks connected to BJE websites or violating the standards, policies, rules or procedures of such networks.
9. Obtain or attempt to obtain unauthorized access to BJE's Portal and websites or other accounts, computer systems or networks connected to BJE's websites through password mining or by any other means.
10. Interfering with another member's use and enjoyment of the Portal.
11. Use the Portal in any unethical manner or against accepted community standards.
12. Use the Portal to promote business for the benefit of a competing company or service.

It is expressly forbidden to: (i) use the Portal and services for purposes that are illegal, immoral, obscene or prohibited by custom and applicable law and/or by this Legal Notice; (ii) cause modifications, alterations and/or deletions, made by electronic means or otherwise, using lawful or unlawful resources, that may interfere with the administration or operation of the Portal and/or the Services provided by BJE.

The User shall be liable for damages caused to BJE arising from its acts or those of its officers, employees, factors, dependents and/or associated, subsidiary and/or affiliate individuals or legal entities.

THE USERS

In order for the User to contact BJE for appointment scheduling, queries and doubts and other options within the website, he/she must send a message via chat or text message. When resolving any questions or queries, you will be asked to provide personal information. BJE's data collection and use policies with respect to the privacy of such information are stipulated in the privacy policies of the service, which are incorporated herein by reference for all purposes and may be consulted through our website https://www.bje.mx. It is the User's responsibility to provide accurate, complete and updated information for your account. The User, by using the Portal agrees to the Privacy Notice and agrees to keep updated promptly any changes in the information provided.

PRIVACY OF MEMBERS

It is BJE's policy to respect the privacy of site users. BJE's privacy policy is presented at https://www.bje.mx. By entering the Portal, the User expressly declares his/her consent to provide his/her personal information and agrees that he/she has read, understood and accepted the Privacy Notice.

PAYMENT, CANCELLATIONS AND REFUNDS

The Service is personal and non-transferable and may only be used by the contracting User, showing prior identification at the branch of the User's choice. To transfer a Service to another person, a physical letter or e-mail from the User to BJE is required, including the name of the person who will receive the Service, the reason for transferring the session and the signature of the transferring User. To validate the transfer, the person to whom the session is transferred must submit the information requested and must accept all terms and conditions applicable to BJE Users.

Mediante el uso de su tarjeta de crédito o débito, usted confirma que la tarjeta es suya y que cuenta con fondos suficientes o crédito disponible para cubrir los cargos.

All credit/debit cardholders are subject to checks and authorizations by the card issuer. By using your credit or debit card, you confirm that the card is yours and that you have sufficient funds or available credit to cover the charges.

The payment platforms are independent of BJE and their purpose is to facilitate a secure and agile transaction for Users. Any query or incident regarding this payment system should be addressed directly to the payment platforms applicable to the Technology Platform and authorized by BJE, which assumes no liability arising from the operation or use of the payment platforms.

BJE is designed for Users over 18 years of age at the time of contracting. Users must stop using the Portal immediately if they are not over 18 years of age, do not agree or do not accept all of these Rules of Use. BJE reserves the right to remove or prohibit any User from using the Portal at its sole discretion.

By contracting the Service directly at the offices or on the website, the User agrees to pay BJE the fee indicated by BJE for the Service contracted. Payment will be charged at the time of requesting the Service. By accepting these terms, the User authorizes BJE to automatically charge his credit, debit, PayPal or other card for the total amount of the treatment contracted.

Cancellations. Cancellations will only proceed if an unwanted Service has been contracted and provided that 1) it is not a recurring Service, and 2) the Service has not been started. Once the Service has started, if it is cancelled during the first 2 weeks, only 50% refund will be applicable, after the third week of contracting, no refund will be applicable. In case of cancellations of recurring services, no refund will apply. In the event of cancellation of a payment or request for reimbursement, BJE reserves the right to request the corresponding information on the transaction from the User to confirm the User's wish. Cancellation and refund policies are the sole and exclusive responsibility of BJE. BJE will carry out refunds during the month within 60 days or, if applicable, will explain to the User why the refund will not be made.

CONTENT OWNERSHIP RIGHTS

BJE has title to and exclusive ownership of the rights granted by the laws in force and/or international treaties inherent to intellectual property for all trademarks, commercial notices and computer programs through which it markets and provides its services, including but not limited to: (i) the industrial property on the titles of registration of trademarks and commercial notices granted by the Mexican Institute of Industrial Property; (ii) the copyrights with respect to the computer program(s), system(s) and/or its derivatives, granted by the National Institute of Copyrights; and (iii) all developments, know how, distinctive signs and/or goods or rights that correspond to it in the field of intellectual property in its own right; all of the foregoing identified hereinafter as "Intellectual Property".

BJE does not grant any license or authorization of use of any kind over the Intellectual Property, unless expressly agreed in writing, whereby the User acknowledges that: (i) it has no right over the Intellectual Property, and therefore undertakes to respect at all times the rights held by BJE over it; (ii) it may not modify, alter, delete, delete, copy or reproduce either in whole or in part, including but not limited to, the information content generated by BJE, the Intellectual Property and/or any indication contained in the Portal.

The User agrees that all information provided by BJE is for informational purposes only and is not intended to provide professional advice.

THIRD PARTIES

LUsers' wireless telephone service providers, the manufacturers and vendors of the devices on which Users use or access the Portal, the developer of Users' operating system, and the operator of any app stores or similar services through which Users access the Portal and conduct transactions, (collectively, the "Third Parties") are not a party to these Usage Rules and do not own or operate the Portal and are not responsible for the Portal. The Third Parties make no warranties in connection with the Site. They are not responsible for maintenance or other technical support services for the Site and shall not be liable for any other claims, losses, liabilities, damages, costs or expenses in connection with the Site.

The Portal and the Portal's transactional media were created for the most recent commercially available version of the Users' internet operating systems and compatibility issues may arise when using older versions. Wireless network coverage and Wi-Fi network speed vary by provider and geographic location. BJE is not responsible for limitations and/or failures in the operation of any wireless or Wi-Fi service used to access the Portal or for the security of wireless or Wi-Fi services. Likewise, BJE shall not be liable for charges or fees for use of data networks, which are the sole responsibility of the User

USER SUPPLIED CONTENT

By publishing or submitting content to BJE's websites, the User automatically grants BJE the right to use, reproduce, present, display, exhibit, adapt, modify, distribute or promote the content in any form and for any purpose. Furthermore, the User agrees and warrants that it has the necessary property rights to such content or control over such content and that the publication and use of the content by BJE does not infringe or violate the rights of any third party. The User accepts and confirms that it is responsible for all content it publishes or sends. In such cases, the User undertakes to: (i) grant BJE a free, non-exclusive and royalty-free authorization for use of the shared data; and (ii) hold BJE and/or its affiliates harmless from any action, lawsuit or claim for any intellectual property infringement arising from the use of shared data that the User itself sends to BJE.

SPONSORSHIPS

All trademarks, service marks and/or trade names appearing on BJE sites that are not proprietary marks are trademarks of their respective owners. Mention of any name, brand, product or services of third parties does not constitute or imply sponsorship, promotion or recommendation of such third parties or their products or services.

SUSPENSION OR DENIAL OF ACCESS

BJE at its various branches may, without prior notice, suspend, disconnect, deny or restrict your access: (a) during a technical failure of the site or premises, or during modification or maintenance thereof; (b) if the User uses BJE's sites and facilities in a manner that violates this agreement; or (c) if the User does anything or fails to do anything that in BJE's opinion could have the effect of endangering the operation or integrity of the facilities of any of BJE's branches, employees, or customers.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

BJE websites may contain links to third party sites, resources and sponsors. The existence of links to and from BJE websites to third party sites does not constitute an endorsement by BJE of any third-party sites, resources, sponsors or content and BJE accepts no responsibility or liability, directly or indirectly, for any such sites, resources, sponsors or content.

BJE does not represent or endorse the accuracy or reliability of any advice, opinion, statement or other information presented or distributed through the BJE websites. The User agrees that, in relying on any such opinion, advice, statement or information, the User does so at the User's own risk.

The BJE site including all content, software, functions, materials and information presented on or accessed through the site is provided "as is". BJE and its partners make no representations or warranties of any kind with respect to: (1) the content of the site; (2) any materials, information or functions accessed through software used on the site or accessed through the site; (3) any third party products or services or links to third parties; or (4) any breach of security associated with the transmission of sensitive information through BJE's websites or any linked site. BJE and its partners disclaim any express or implied warranties, including, without limitation, those of non-infringement, merchantability or fitness for a particular purpose. BJE does not warrant that the functions contained in the site or any material or content contained therein will be uninterrupted or error-free, that all defects will be corrected, or that BJE's websites or the server on which it runs is free of viruses or other harmful components. BJE accepts no liability for any loss or damage (including, without limitation, indirect, special or direct loss or damage) resulting from the use of the BJE sites whether or not arising from any negligent act or omission. If any law, rule or decision implies that any term or warranty cannot be excluded, BJE's sole liability shall be, in the case of services, to re-supply the services previously contracted.

BJE may offer its members tools to conduct transactions or otherwise interact with third parties, including individuals. Members must take appropriate measures when providing information to such third parties or in other interactions with such third parties. All contacts or interactions between the Member and third parties are made at the Member's own risk, and BJE shall have no liability for such contacts or interactions.

INDEMNITY

User hereby agrees to indemnify, defend and hold harmless BJE and all of its subsidiaries, affiliates, officers, directors, owners, agents, employees, information providers, partners, licensees and licensors (collectively the "Indemnified Parties") against all liability and costs incurred by the indemnified parties in connection with any claim relating to any breach of this agreement by the User, any unauthorized use of the content of the site or any breach by the User of the foregoing representations, warranties or covenants, including, without limitation, attorneys' fees and costs. The User must cooperate fully as reasonably required in defense of any claim. BJE reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by it and User shall not in any event settle any matter without the written consent of BJE.

APPLICABLE LAW AND LEGISLATION

This agreement and all matters arising out of or relating to this agreement shall be governed by the laws of Mexico, notwithstanding its choice of law rules. The parties agree that any legal action or claim relating to this agreement shall be brought and filed in the courts of Mexico City and the parties voluntarily submit to the jurisdiction of such courts for such purposes.

INVALIDITY

If a provision of this agreement or a right or remedy contained herein is invalid or unenforceable in a particular jurisdiction: (a) shall be construed or excluded in such jurisdiction only to the extent of the invalidity or unenforceability of the provision and (b) does not affect the validity or enforceability of such provision in another jurisdiction or the remaining provisions in any jurisdiction.

WAIVER

The individual or partial use of a right does not exclude the future use of such right or the use of another right. If one of the parties does not use a right or delays the use of such right, this does not preclude the use of the right and does not operate as a waiver. A waiver is only valid in the specific case and for the specific purpose of its issuance..

RIGHTS

The rights and remedies of a party under this agreement do not exclude any other rights and remedies provided by law.

FULL AGREEMENT

This agreement is the entire agreement between the User and BJE with respect to the matters addressed in this document. No interpretation, arrangement, statement or stipulation not explicitly included in this document is binding. All correspondence, negotiations and other communications relating to the matters dealt with in this document that precede this agreement are suspended by this document and are incorporated herein.

NOTICES

BJE may receive communications related to the use of the Portal at its business address located at: Ave. Paseo de las Palmas #1530, Colonia Lomas de Chapultepec VIII Secc, Alcaldía Miguel Hidalgo, Mexico City, C.P. 11000 and/or at the e-mail address indicated in the Privacy Notice of this Portal.

BJE will select the means of communication it deems appropriate, including the use of data messages, to respond to any request for information it is required to respond to by law.
